Incorporate in Peru

To incorporate a company in Peru you will need to go through the below steps:

  1. Name reservation
    Choose your company name and search for its availability in the Peruvian Public Register of Companies. If it is still available; make a name reservation.

  2. Legal Structure
    There are various business types, so it is important to decide which legal structure you want for your company.
    If you are looking for limited liability and protection of personal assets for the shareholders, you could consider the Limited Liability Company, which has:
    • Minimum of 2 and a maximum of 20 shareholders.
    • General Manager must be resident in Peru
    • Limited liability and protection of personal assets for the shareholders.
    • The capital is divided into participation (not shares).
    • Governance by Partner’s Assembly and General Manager.
    • Ownership is recorded in Public Records.
    However, the most commonly used structure is that of the Corporation. It has the following characteristics:
    • Minimum of 2 and a maximum of 750 shareholders.
    • Limited liability and protection of personal assets for the shareholders.
    • The capital is divided into shares, which can be of different classes and with special rights and obligations.
    • Governance by Shareholders Assembly, Board of Directors and General Manager.
    • Ownership of the Corporation is not of public knowledge.
  3. Bylaws
    Prepare the necessary incorporation documents of the company.

  4. Capital Deposit
    Deposit the initial capital f the company in a temporary bank account at a local bank of your choice.

  5. Incorporation
    Sign the Deed of Incorporation.

  6. Public Deed
    Register the company in the public records.

  7. Tax Identification Number
    Obtain the tax identification number at the national revenue authorities.

  8. Account Opening
    Open the company’s bank account.
